The rules for listening, publishing, distributing, and selling music through Woom.

These Terms of Service ("Terms") govern use of the Woom website, mobile application, artist and Producer/Publisher portal, APIs, music catalogue, payment systems, distribution services, and related services operated by Faith IT Consult Ghana Limited ("Faith IT Consult", "Woom", "we", "our", or "us"). By registering, purchasing, uploading, submitting, or otherwise using Woom, you agree to these Terms.

Important: If you submit music for another person, you confirm that you are authorized to bind that artist or rights holder to these Terms.

1. Definitions

Listener means a person who browses, purchases, downloads, streams, or listens to music through Woom. Artist means a standalone artist or a managed artist whose profile or music appears on Woom. Producer/Publisher means an account that manages one or more artists or releases. Content includes recordings, compositions, lyrics, artwork, names, biographies, credits, metadata, photographs, and promotional materials. Commission means Woom's approved percentage or share applicable at artist level.

2. Eligibility and accounts

You must be at least 18 or have authorization from a parent or legal guardian. Information supplied to Woom must be accurate and current. You are responsible for your credentials, devices, and all activity under your account. You must promptly report suspected unauthorized access.

3. Account types and approval

Woom supports standalone Artist and Producer/Publisher portal accounts. Producer/Publishers may create and manage artist profiles without separate login accounts for those artists. Accounts, artists, commissions, profiles, and releases may require administrative approval before publication or distribution.

A commission requested for a managed artist must comply with Woom's available increments and may not exceed the Producer/Publisher account's approved commission. A request is not effective until approved by Woom.

4. Rights to submitted content

You retain ownership of rights you lawfully hold. You grant Woom a worldwide, non-exclusive license, for as long as needed to provide the service and honor existing customer access, to host, store, reproduce, encode, encrypt, transmit, distribute, sell, stream, display, promote, and otherwise make submitted Content available through Woom.

You also permit Woom to use artist names, photographs, biographies, release titles, artwork, excerpts, and related metadata to operate and promote Woom and the submitted releases.

Woom may approve, reject, delay, correct, suspend, unpublish, or remove an account, artist, release, song, album, price, artwork, credit, or other Content where reasonably necessary for quality, rights, security, fraud, legal, technical, or policy reasons. Existing lawful purchases may remain accessible after a release is withdrawn, except where revocation is required by law, a rights dispute, fraud, security, or payment reversal.

7. Pricing, commissions, and earnings

Artists and Producer/Publishers may propose release and track prices where supported. Woom may require correction or reject pricing that is invalid, misleading, technically unsupported, or inconsistent with platform rules. Earnings are calculated from successfully verified transactions, less the approved artist-level Commission, refunds, reversals, chargebacks, taxes, processor costs where applicable, and other agreed adjustments.

Producer/Publisher finances may be presented in aggregate with breakdowns by artist, album, and song. Standalone Artist finances may be broken down by release and song. Reports may be delayed while payments, refunds, ownership, or fraud are reviewed.

8. Purchases and listener licenses

A purchase gives the Listener a limited, personal, revocable, non-exclusive, non-transferable license to access the purchased music through Woom-approved applications and systems. It does not transfer copyright, master ownership, publishing rights, public-performance rights, resale rights, or distribution rights.

Free releases are subject to the same license restrictions even when no payment is required.

9. Payments, refunds, and chargebacks

Payments may be processed by Paystack, Mobile Money providers, or other supported processors. An order is complete only after Woom verifies successful payment. A prompt, pending response, receipt screenshot, or client-side message is not proof of payment.

Digital purchases are generally final after access is granted, except where applicable law requires otherwise or Woom determines that a refund is appropriate. Reversed, fraudulent, or charged-back transactions may result in access revocation and corresponding financial adjustments.

10. Security and anti-piracy

You must not copy, extract, record, redistribute, resell, share, upload, scrape, or publicly perform protected Content without permission. You must not bypass, reverse engineer, disable, disclose, or interfere with Woom encryption, keys, access checks, APIs, applications, or other security measures. Woom may suspend accounts, revoke access, block devices or sessions, preserve evidence, and pursue available remedies for violations.

11. Prohibited conduct and content

You may not use Woom for infringement, impersonation, fraud, harassment, malware, unauthorized automation, credential sharing, payment abuse, false ownership claims, manipulated sales, unlawful Content, or interference with the service. Woom may reject or remove Content it reasonably considers infringing, exploitative, hateful, deceptive, unsafe, or unlawful.

12. Platform intellectual property

Woom's software, APIs, database structure, designs, branding, workflows, encryption systems, and platform technology are owned by Faith IT Consult or its licensors. These Terms do not grant permission to copy, modify, reverse engineer, resell, or exploit them.

13. Availability and changes

Woom is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted availability, permanent storage, compatibility with every device, or continued availability of every feature, payment method, account, artist, or release. We may modify the service while taking reasonable steps to protect verified purchases and accrued financial obligations.

14. Suspension and termination

Woom may suspend or terminate access for breach, fraud, piracy, security risk, payment reversal, rights disputes, unlawful conduct, or material risk to the platform or others. You may request account closure, but provisions concerning licenses already granted, purchases, financial records, disputes, intellectual property, liability, and legal compliance survive where necessary.

15. Disclaimers and limitation of liability

To the maximum extent permitted by law, Woom is not liable for indirect, incidental, special, punitive, or consequential loss, lost profits, lost opportunity, or losses caused by third-party networks, payment providers, devices, rights disputes, unauthorized account use, outages, or events outside our reasonable control.

16. Indemnification

You agree to indemnify Faith IT Consult and its personnel against claims, losses, and reasonable costs arising from Content you submit, your breach of these Terms, false rights or ownership claims, infringement, fraud, piracy, or misuse of Woom.

18. Changes to these Terms

We may update these Terms. Updated Terms become effective when published with a revised date. Where appropriate, material changes may be communicated through the app, portal, email, or another reasonable channel. Continued use after the effective date constitutes acceptance.

19. Governing law

These Terms are governed by the laws of the Republic of Ghana. Disputes are subject to the courts of Ghana, without limiting either party's right to seek urgent lawful relief.
